The deal in brief
- Eli Lilly paid about $2.8 billion upfront for AtaiBeckley, with up to $1 billion more tied to milestones.
- The deal closed September 11, 2026. It is Lilly's first move into psychedelics.
- The lead drug, BPL-003, is a nasal spray form of 5-MeO-DMT for treatment-resistant depression.
- Psilocybin itself is still Schedule I, but Compass Pathways' psilocybin therapy is closer to FDA approval than any psychedelic in Lilly's new pipeline.
What happened
On July 16, 2026, Eli Lilly agreed to buy AtaiBeckley for $6.75 per share in cash, roughly $2.8 billion, plus a contingent value right worth up to $2.50 more per share if its drugs hit development and regulatory milestones. The cash price was about a 40% premium to AtaiBeckley's 30-day average share price.1
Shareholders approved the deal, and Lilly announced it had completed the acquisition on September 11, 2026.2 AtaiBeckley is now a wholly owned Lilly subsidiary, and its stock has been delisted from Nasdaq.3

What Lilly actually bought
AtaiBeckley develops what it calls rapid-acting neuroplastogens: drugs designed to help the brain form new connections quickly, the same idea behind psilocybin's effect on depression. Its pipeline includes three main programs:15
| Program | Compound | Form | Target condition |
|---|---|---|---|
| BPL-003 | 5-MeO-DMT (synthetic) | Nasal spray | Treatment-resistant depression. Phase 3, FDA Breakthrough Therapy designation. |
| VLS-01 | DMT | Film dissolved inside the cheek | Treatment-resistant depression |
| EMP-01 | (R)-MDMA | Oral | Social anxiety disorder |
In a Phase 2b study, BPL-003 reduced depressive symptoms for months after a single clinic visit, according to the company.1 Lilly's chief scientific officer framed the drug as a different kind of medicine, one that changes neural connections rather than simply adjusting brain chemistry the way Prozac does.6
Why a DMT spray instead of psilocybin?
The answer is mostly about time in the chair. A psilocybin session lasts six to eight hours, with trained staff present the whole time. BPL-003 patients are monitored in the clinic for about two hours.6 Shorter sessions mean lower cost per patient, more patients per room, and a model that fits how clinics already work.
There is a proven template for that model. Johnson & Johnson's esketamine nasal spray, Spravato, is given in certified clinics with about two hours of monitoring and brought in $584 million in global sales in the second quarter of 2026 alone.7
That does not mean the short-acting approach wins. Psilocybin has far more human data behind it, including two positive Phase 3 trials and benefits that last at least six months for many responders. Longer sessions may also be part of why the effects last.
What the deal means for psilocybin
1. Big pharma is now validating the whole category
Lilly is the world's largest drugmaker by market value. Its entry follows AbbVie's deal for Gilgamesh Pharmaceuticals' psychedelic compound bretisilocin, worth up to $1.2 billion.8 When companies of this size commit billions, it signals confidence that psychedelic-assisted treatment will be approved, paid for, and prescribed. Analysts cited by Bloomberg estimate the market could reach about $7 billion in annual sales by 2032 if more of these therapies are approved.8
2. Psilocybin is still first in line
Compass Pathways expects to finish its FDA application for COMP360 psilocybin in Q4 2026 and is aiming for a launch in the first half of 2027, subject to approval and DEA rescheduling.9 If that happens, psilocybin will likely be the first classic psychedelic approved as a medicine in the U.S., and every company in the space, including Lilly, will learn from how it is rolled out.
3. Competition should push access and prices in the right direction
More approved options mean more clinics, more trained staff, and more pressure on insurers to cover treatment. Today, sessions in Oregon and Colorado's state programs are paid out of pocket.
What has not changed
Psilocybin is still a Schedule I controlled substance under federal law. The DEA's April 2026 order rescheduling marijuana did not cover psilocybin or any other psychedelic, and a separate psilocybin rescheduling petition remains under federal health review.10 Outside clinical trials, the only legal paths to psilocybin in the U.S. are the state programs in Oregon and Colorado, with New Mexico's medical program expected to open around the end of 2026. See where psilocybin therapy is legal.
The takeaway: Lilly bought a psychedelic, not psilocybin. But the bet only makes sense if regulators, doctors, and insurers are ready to embrace the idea psilocybin proved first.
